Section 01The agreement
Agreement, scope and key definitions
These Terms and Conditions (the “Terms”) govern your access to espread.io, our marketing website, and app.espread.io, our customer application (together, the “Services”). The Services are operated by ESPREAD SOLUTION LLP (“eSpread”, “we”, “us”), whose registered address is 26, Devnandan Mall, Opp Sanyash Ashram, Ashram Road, Ahmedabad 380006, Gujarat, India.
By registering, accepting Terms at checkout, or ordering Services, you agree to the version of these Terms presented to you. If you act for a company, agency or client, you confirm you have authority to do so. The marketing website provides service information and an enquiry channel; the App supports accounts, analysis, orders, payments and reporting.
- Buyer: a customer account ordinarily used to manage placements for one website.
- Agency: an approved customer account that may manage work for multiple clients, subject to its available App features.
- Order: a paid or accepted request specifying a service, price, target URL, site, content and other agreed requirements.
- Placement: content, a mention or a link arranged on a website operated by an independent publisher.
- Wallet: the App’s prepaid service-credit ledger, not a bank account.
For a specific order, an individually signed agreement prevails if it expressly says so; otherwise, an accepted written service-specific commitment and the order details control the particular deliverable, and these Terms govern general use.
Section 02The agreement
Eligibility, accounts and Agency access
The Services are designed for business and professional customers aged at least 18. You must supply accurate account and billing details, maintain the confidentiality of your credentials, and promptly report suspected unauthorised activity to support@espread.io. You are responsible for authorised activity performed through your account.
The App currently provides Buyer accounts with email/password and Google sign-in options. Agency access is granted after review of an application that may request the agency’s business name, website, expected order volume and intended use. We may approve or reject applications using reasonable business and compliance criteria and may revoke Agency features for misuse.
Where the current product configuration limits Buyers to one saved website, requires review of website changes, restricts Agency catalogue visibility, or allows only one pending Agency application, those restrictions appear in the App and apply while that feature is active.
If you order for someone else, you warrant that you have permission to use their brand, website, links, instructions and materials. Your relationship with your own clients is separate from eSpread’s; Agency approval does not create a partnership, employment or legal agency relationship with us.
Section 03Orders and delivery
Services, quotes and order acceptance
Depending on availability, eSpread may provide guest-post placements, link insertions or curated links, brand mentions, content writing, publisher outreach and backlink analysis. Service names describe the nature of the work, not a guarantee of specific search-engine outcomes.
The order summary, quoted price, selected site, publication type, target URL, anchor text, content instructions and any separately agreed deliverables form the basis of each order. Check them carefully before payment. We may request clarification or changes if your instructions are incomplete, unlawful or inconsistent with a publisher’s requirements.
Payment is not the same as publisher approval. An order receipt confirms that eSpread received your request or payment; it does not mean an independent publisher has accepted the article or placement. We may review site availability, displayed pricing, suitability, content rights and publisher rules before proceeding. If we cannot fulfil an accepted order, we will contact you about an alternative or the remedy available under Section 7 and applicable law.
Prices and delivery estimates may change before an order is accepted. We will not charge a higher amount for an already paid order without your agreement. Timelines are estimates unless a deadline was expressly guaranteed in writing.
Section 04Orders and delivery
Backlink Gap, outreach and order progress
Backlink Gap
The App’s Backlink Gap feature may compare your website with competitors you provide or competitors suggested by automated analysis and display potential link opportunities, comparable sites and third-party website metrics. These results are estimates, may be incomplete and do not mean a placement is available at the displayed price.
The App currently applies a limit of 2 analysis runs per rolling 24-hour period and one saved Buyer website, with website changes subject to review. Usage limits may be shown in the App and adjusted for security, fairness or product changes.
Outreach requests
You may suggest websites for outreach. We may contact site owners to explore willingness, requirements, timing and price. A request is not an accepted placement. You can decline a new quote before accepting it, and a site may remain unavailable if its owner refuses, cannot be contacted or has unsuitable terms.
Order status and completion
The App may show stages such as Pending, In Progress, Delivered and Cancelled. A placement is ordinarily recorded as delivered when the agreed live publication URL has been verified and reported. A status or notification is an operational record, not a waiver of an express remedy or legally protected right.
Section 05Orders and delivery
Third-party publishers, delivery and live-link cover
We coordinate placements with independent website owners. They retain final editorial and technical control and may decline articles, request edits, set publication schedules, moderate content, change link attributes or remove material. We cannot compel a publisher to keep a page or link active indefinitely.
We aim to deliver the agreed site, placement type, target URL, anchor instructions and content requirements that were expressly accepted for the order. Changes to key deliverables before publication should be brought to your attention when reasonably practicable. Publisher traffic, authority scores, indexing and other third-party metrics can vary, so a current metric is not a future-performance guarantee.
After publication, a publisher may alter or remove a page, link or attribution. Any repair, replacement, credit or refund entitlement must be stated in the applicable approved live-link policy or accepted order, rather than inferred from a general marketing claim.
Changes to published content or links are not guaranteed. If an additional publisher fee would be required, we will seek your approval before adding it to your order.
Section 06Payments and content
Prices, PayPal, taxes and prepaid Wallet
Prices, applicable fees, and checkout currency are presented in the App or accepted quote. The current customer workflow generally displays prices in US dollars and uses PayPal to fund purchases or Wallet balances. PayPal handles payment credentials under its own terms; eSpread stores transaction references and account ledger information, not full card numbers. Bank fees, card fees and currency conversion may apply independently of eSpread.
Wallet mechanics. Prepaid balances can be applied to eligible App purchases. Wallet top-ups range from USD 1 to USD 10,000 per transaction, and the checkout flow permits the customer to fund a shortfall through PayPal before paying for an order from the Wallet.
Wallet value is intended as prepaid credit for eSpread services, not a deposit, savings account or investment. No interest accrues. The current App does not provide a self-service cash withdrawal function, but that limitation does not determine whether a customer may be entitled to a refund of unused paid funds. Such entitlements must be addressed by the approved policy and applicable law.
We issue invoices or transaction records as required by law. Taxes, including GST or other applicable charges, depend on the nature of the supply, customer and location.
Section 08Payments and content
Customer content and “Write it for me”
You may provide an article, file, content URL or brief, or purchase the App’s “Write it for me” service where offered. You confirm that you own or are authorised to use submitted articles, images, brand names, anchor text, destination URLs, quotes and instructions, and that they do not infringe the rights of others or violate applicable law.
You grant eSpread and necessary publishers, writers and outreach partners a non-exclusive licence to access, review, reasonably edit, format, reproduce and publish your submitted materials to fulfil the particular order. This is a limited operational permission, not a transfer of your pre-existing intellectual property to eSpread. The publisher may retain materials on a live page after your account closes, subject to applicable rights and its editorial control.
If eSpread creates an article for you, the ownership or licence granted for the paid deliverable, revision rounds, delivery timing, publication exclusivity and use of drafts must be clear before purchase.
We may correct formatting, grammar, link syntax or publisher-required presentation, but material changes to the agreed commercial message, target link or editorial scope should be discussed with you where reasonably practical. Client approval delays may affect estimated delivery dates.
Section 09Compliance and protection
SEO outcomes, link labels and search policies
SEO outcomes depend on search-engine systems, competition, your own site, third-party publishers and many external factors. We do not promise rankings, traffic, leads, conversions, indexing, domain scores or any particular search-ranking value from an order. Publisher-reported metrics and third-party SEO scores are approximations that may change.
Paid or sponsored links can be subject to disclosure and technical qualification requirements. Google’s outbound-link guidance recommends the rel="sponsored" attribute for paid placements and accepts rel="nofollow" as another way to qualify such links. Buying or selling links primarily to manipulate ranking signals can breach Google’s spam policies. Publishers may therefore apply appropriate attributes or disclosures.
You may not demand publication without disclosures, attribute choices or editorial safeguards required by applicable law, search-engine rules or a publisher. If a particular link attribute is commercially important, it must be expressly included in the accepted order, subject to those rules and publisher policies.
Section 10Compliance and protection
AI-assisted features, data and platform limits
Backlink Gap and related tools may analyse public website pages, domains and third-party SEO datasets. Our competitor-analysis workflow may send public page content and website domains to Google Gemini and share domains with SEO data providers to classify businesses and identify possible competitors.
These systems may produce incomplete, outdated or inaccurate information. Their suggestions are informational and should be checked before acting on them. They are not advice from a lawyer, financial adviser or search engine. Do not submit passwords, confidential client records, private personal details or information you lack permission to share to public-page analysis fields.
As explained in our Privacy Policy, our competitor-analysis workflow does not intentionally send customer credentials, order files or article briefs to its AI providers. New integrations or other AI features require separate review and disclosure. For more about information handling, see our Privacy Policy.
We may impose reasonable fair-use limits, rate limits or technical protections to maintain platform security and service quality. A specific quota is enforceable only as communicated through the applicable product feature or your accepted plan.
Section 11Compliance and protection
Acceptable use, restricted niches and publisher relations
Use the Services lawfully, responsibly and only for purposes you are authorised to pursue. In particular, you must not:
- upload unlawful, defamatory, deceptive, plagiarised, infringing or malicious material;
- falsely claim rights in a domain or authority to act for a brand or client;
- use malware, phishing, credential theft, unauthorised access, scraping, automated abuse or attempts to bypass security controls;
- resell private marketplace datasets, analysis output or site lists outside permissions expressly granted;
- falsify payment information, campaign performance, orders or claims in an attempt to obtain unpaid services; or
- pressure a publisher to violate its lawful editorial standards, disclosure obligations or technical requirements.
We may refuse content in restricted or regulated niches based on applicable law, payment-provider rules, publisher policies or reasonable risk controls.
Introduced publisher relationships
eSpread invests in acquiring and maintaining publisher relationships. A limited non-circumvention term may protect introductions actually made through the App, but it does not bar pre-existing publisher relationships or independently sourced opportunities.
Section 12Compliance and protection
Privacy, customer details and communications
Our Privacy Policy explains how personal data is handled across both the marketing website and the App. It covers account details, payments, AI-assisted analysis, cookies, data sharing and privacy rights. These Terms govern the commercial relationship and do not replace the Privacy Policy.
To complete an order, necessary article text, target URLs, anchor instructions and publication correspondence may be shared with publishers, writers and outreach partners. Our workflow does not ordinarily require disclosing the account holder’s name or email address to publishers or writers, but details contained within customer-supplied content may be visible to them.
You must not provide confidential data belonging to a client or another party without appropriate authority. We will use reasonable administrative and access controls to limit the sharing of non-public business information to what is needed to operate the service, subject to lawful disclosures and any separate confidentiality agreement.
Account, order, payment and security notices are operational communications. Marketing communications, if introduced, must follow the relevant consent and opt-out requirements described in the Privacy Policy.
Section 13Legal and account status
Platform availability and intellectual property
We aim to keep the App and website available, but maintenance, security incidents, connectivity problems and third-party outages may interrupt service. We do not promise uninterrupted access. If an outage materially affects a paid and unfulfilled order, we will apply the relevant order commitments and applicable customer rights.
The eSpread name, marks, software, website layout, databases, analysis interfaces and original platform content belong to eSpread or its licensors. We grant you a limited, non-exclusive, revocable permission to access and use them for their intended business purposes while you comply with these Terms. This permission does not transfer rights in publisher websites or customer-owned content.
You may not reverse engineer restricted parts of the App, obtain unauthorised bulk exports, remove proprietary notices or represent eSpread’s platform as your own. Reasonable use of publicly available pages and rights that cannot lawfully be restricted are not affected.
Links to PayPal, Google, third-party publishers and other sites take you to services we do not control. Their terms, availability and actions are separate from eSpread’s.
Section 14Legal and account status
Disclaimers, liability and fair allocation of risk
Except as expressly promised in an accepted order and to the extent permitted by applicable law, the Services and analysis outputs are supplied on an “as available” basis. We do not warrant uninterrupted access, the accuracy of every third-party metric, search performance, publisher acceptance or perpetual links.
Neither party excludes liability where doing so would be unlawful, including for fraud or other non-excludable matters. Subject to applicable law, neither party is responsible for indirect or consequential losses, including lost anticipated rankings, goodwill or profits, to the extent such exclusions are legally permissible.
You agree to indemnify eSpread against reasonable third-party claims and direct losses arising from content you supplied without necessary rights, instructions that breach applicable law, or your material breach of these Terms, to the extent caused by your actions and legally permitted. We will provide reasonable notice and an opportunity to participate in handling a claim.
Section 15Legal and account status
Suspension, account closure and pending orders
You may stop using the Services and request account closure through support@espread.io. The App does not currently provide self-service account deletion; requests are handled by support and subject to valid legal record-retention requirements described in the Privacy Policy.
We may restrict, suspend or terminate access for significant security threats, fraud, unlawful activity, repeated misuse or serious breaches of these Terms. Where feasible and safe, we will explain the issue and permit correction of a remediable problem. We may preserve evidence and cooperate with lawful investigations as required.
Closing an account does not by itself undo a completed publication, cancel all accepted order obligations or erase records we must retain by law. Open orders, earned fees and unused paid Wallet funds must be handled under the approved cancellation/refund rules and applicable law.
Section 16Legal and account status
Complaints, governing law, updates and contact
For questions or complaints about a payment, order or placement, email support@espread.io with the relevant order reference. We will review the issue and respond through our support process. Where a formal dispute-resolution procedure is agreed or legally required, the applicable process will govern.
Governing law: the laws of India, with competent courts located in Ahmedabad, Gujarat, subject to mandatory consumer, data-protection or other rights that cannot be waived.
We may revise these Terms for legal, security or product changes. Material revisions will be communicated through a suitable channel and carry a new effective date. Unless required by law or agreed otherwise, amended Terms apply prospectively: the version and written commitments applicable when an order was accepted continue to govern that order.
If a provision is unenforceable, the remaining provisions continue to apply where permitted. Failure to enforce a provision once does not waive future rights. For any conflict involving an accepted order, the precedence rule in Section 1 applies.
